General Terms and Conditions
§ 1 Scope, contracting parties
(1) These General Terms and Conditions (“GTC”) apply to all contracts for photographic and videographic services including concept development and post-production between LVSN Visuals, owner Leland Levsen, Luisenweg 6, 85630 Grasbrunn, Germany (“LVSN Visuals”), and its clients (“Client”).
(2) They apply equally to businesses and consumers; individual clauses that apply to one group only are marked accordingly.
(3) Deviating terms of the Client only become part of the contract if LVSN Visuals expressly agrees to them in text form. Individual agreements in the quote take precedence over these GTC.
§ 2 Conclusion of contract
(1) Inquiries via the website (including the inquiry form), by email or by phone are non-binding and free of charge.
(2) In response to an inquiry, LVSN Visuals prepares a quote in text form with a description of services, a fixed price and a delivery date. The contract is concluded when the Client accepts the quote in text form.
(3) Selecting a paid on-site preparation session in the inquiry form does not create any payment obligation; a contract about it is only concluded upon appointment confirmation by LVSN Visuals (§ 4).
§ 3 Scope of services
(1) The scope of services follows from the quote. Unless agreed otherwise there, LVSN Visuals owes the production described in the quote and delivery of a curated, edited selection of the recordings in the agreed formats.
(2) There is no entitlement to the release of all recordings or unedited raw data (RAW files, original footage); their release can be agreed separately.
(3) Artistic and technical execution (image selection, framing, lighting, editing style) is at the discretion of LVSN Visuals within the agreed concept. The style agreed in the quote or briefing is decisive.
(4) For video productions, two rounds of revisions to the edit are included unless the quote provides otherwise; further change requests are charged based on effort as stated in the quote.
§ 4 On-site preparation session
(1) On request, LVSN Visuals offers a preparation session on location before the production (approx. 60 minutes; location visit, coordination of motifs, light and schedule). The fee is €149 including statutory VAT where applicable, unless stated otherwise in the quote.
(2) If the Client subsequently books the production, this fee is fully credited towards the project price.
(3) If no booking follows, the fee remains due for the session held. The preparation session may be cancelled free of charge up to 24 hours in advance.
§ 5 Client’s duties to cooperate
(1) The Client ensures the agreed production conditions, in particular access to the location, an available contact person and informing the people involved about the appointment.
(2) The Client ensures that photography/filming is permitted at the location and that — where people organised by the Client are depicted (e.g. employees, guests of the Client’s event) — the required consents exist or are obtained. LVSN Visuals can support with templates on request. As organiser, the Client is responsible for privacy information towards the participants of its event.
(3) If production is delayed for reasons attributable to the Client, additional effort may be charged at the rates stated in the quote; the agreed production time is not automatically extended.
§ 6 Prices and payment
(1) The fixed price stated in the quote applies. Whether and to what extent VAT applies follows from the quote and invoice.
(2) Unless agreed otherwise, invoices are payable within 14 days of receipt without deduction. For projects above €2,500, LVSN Visuals may request a down payment of up to 50% upon order confirmation; this is stated in the quote.
(3) Final files are delivered after full payment unless agreed otherwise; a preview may be provided earlier.
§ 7 Dates, rescheduling, cancellation
(1) Agreed production dates are binding.
(2) The Client may reschedule a date free of charge once up to 7 days before the date, provided a replacement date takes place within 6 months. For weather-dependent outdoor productions, an additional free weather-related rescheduling by mutual agreement is possible.
(3) If the Client cancels, the following shares of the agreed price become due — in each case less saved expenses and crediting any other use of the date; the Client remains free to prove a lower loss, LVSN Visuals a higher one:
• up to 14 days before the date: free of charge
• 13 to 7 days before the date: 25%
• 6 to 2 days before the date: 50%
• less than 48 hours before, or no-show: 75%
(4) If LVSN Visuals cannot keep a date for reasons within its responsibility, the Client is informed without delay; a replacement date or — by mutual agreement — a qualified replacement photographer is offered with priority. If neither materialises, payments already made for services not rendered are refunded without delay. § 12 (liability) remains unaffected.
§ 8 Delivery and acceptance
(1) Delivery is digital, in the agreed formats, on the date stated in the quote.
(2) The Client reviews the delivery and reports obvious deviations from the agreed scope within 14 days in text form; consumers’ statutory warranty rights remain unaffected in full.
(3) The Client is responsible for backing up the delivered files. LVSN Visuals retains the delivered results for at least 12 months after delivery and will re-deliver them once on request within this period; there is no further archiving obligation.
§ 9 Client’s usage rights
(1) Upon full payment, the Client receives a simple (non-exclusive) usage right, unlimited in time and territory, to the delivered recordings for the purposes agreed in the quote; if no purpose is agreed, the usage right covers the Client’s own corporate or private communication (including website, social media, print, press, internal use).
(2) Unless separately agreed, the following are not included: transfer or sub-licensing to third parties for their own advertising, resale of the recordings, and the granting of exclusive rights.
(3) Customary technical adjustments (cropping, formatting, colour adaptation for channels) are permitted. Distorting edits and the use of the recordings for training generative AI systems require the prior consent of LVSN Visuals.
(4) For editorial use, LVSN Visuals shall be credited as author in the customary manner (Section 13 German Copyright Act); otherwise the crediting obligation is waived unless the quote provides otherwise.
§ 10 Copyright and self-promotion by LVSN Visuals
(1) Copyright in all recordings remains with LVSN Visuals (Leland Levsen).
(2) LVSN Visuals is entitled to use the recordings created within the assignment for self-promotion, in particular on its own website, in portfolios, on its own social media channels and for competitions. The Client’s legitimate interests are respected: content marked as confidential (e.g. unreleased products, internal spaces) will not be used, and recordings of identifiable persons are used only within the scope of the consents obtained for this purpose.
(3) The Client may object to self-promotional use, in whole or in part, at any time in text form for legitimate reasons; publications already made will then be removed within a reasonable period where technically reasonable (e.g. not for materials already printed). A complete exclusion of self-promotion can also be agreed in the quote from the outset.
§ 11 Personality rights in commissioned portraits
For recordings depicting the Client or persons designated by the Client, any publication by LVSN Visuals beyond the assignment (including self-promotion under § 10) requires the consent of the person depicted; consent may be withdrawn with effect for the future.
§ 12 Liability
(1) LVSN Visuals is liable without limitation for intent and gross negligence, for injury to life, body or health, and under the German Product Liability Act.
(2) In cases of slight negligence, LVSN Visuals is liable only for the breach of essential contractual obligations (obligations whose fulfilment makes the proper performance of the contract possible in the first place and on whose observance the Client may regularly rely), limited to the foreseeable damage typical for this type of contract.
(3) For loss of recordings before delivery: LVSN Visuals backs up recordings redundantly from the production onwards. Should recordings nevertheless be lost for reasons within LVSN Visuals’ responsibility, the production will — at the Client’s choice — be repeated free of charge where possible, or the fee refunded proportionately; further claims are governed by paragraphs 1 and 2.
(4) The Client indemnifies LVSN Visuals against third-party claims arising from a violation of third-party rights that is based on inaccurate information or missing clearances provided by the Client (§ 5(2)), to the extent the Client is responsible for the breach.
§ 13 Consumer right of withdrawal
(1) For off-premises and distance contracts, consumers generally have a statutory 14-day right of withdrawal. The withdrawal instruction including the model withdrawal form is provided with the quote.
(2) There is no right of withdrawal for contracts for services related to leisure activities where the contract provides for a specific date or period (Section 312g(2) no. 9 German Civil Code); it also expires upon complete performance of the service if the consumer has expressly consented and confirmed awareness of the expiry (Section 356(4) German Civil Code). Whether one of these situations applies is stated in the quote.
§ 14 Data protection
Information on the processing of personal data is provided in the privacy policy.
§ 15 Final provisions
(1) The law of the Federal Republic of Germany applies. Towards consumers, this choice of law applies only insofar as it does not deprive them of the protection of mandatory provisions of the law of their state of habitual residence.
(2) If the Client is a merchant, a legal entity under public law or a special fund under public law, the place of jurisdiction is Munich.
(3) Amendments and additions to the contract must be in text form.
(4) Should individual provisions of these GTC be invalid, the validity of the remaining provisions remains unaffected.
